GOVERNING LAW. This Terms of Use Agreement shall be treated as though it were executed and performed in San Francisco, California, and shall be governed by and construed in accordance with the laws of the State of California (without regard to conflict of law principles). Any cause of action by you with respect to the Sites (and/or any information, products or services related thereto) must be instituted within one (1) year after the cause of action arose or be forever waived and barred. All actions shall be subject to the limitations set forth in above. The language in this Agreement shall be interpreted as in accordance with its fair meaning and not strictly for or against either party. All legal proceedings arising out of or in connection with this Agreement shall be brought solely in San Francisco, California. You expressly submit to the exclusive jurisdiction of said courts and consent to extraterritorial service of process.

Consent To Binding Arbitration Before The American Arbitration Association

By execution of this Agreement Subscriber hereby consents and agrees that any and all disputes that may arise concerning this Agreement or any of the terms of this Agreement, or that concern any aspect of the relationship between Subscriber and Company, shall be decided exclusively in binding arbitration conducted by the American Arbitration Association (hereinafter the “AAA”). Subscriber and Company further consent and agree Subscriber may file its complaint with the AAA in its state of residence, but that all AAA arbitration hearings shall be conducted in California before a single AAA arbitrator. The arbitrator shall be appointed in accordance with the Section R-13, Appointment from Panel, of AAA's Commercial Arbitration rules. Subscriber and Company consent and agree that the AAA arbitrator shall exclusively apply.

From time to time Company may also choose to offer a special Privacy Chest subscription bonus on the Web Detective order page(s) for qualified subscribers. These are limited time offerings and may or may not be available to all Subscribers. The Privacy Chest Special Bonus, if selected, is also a recurring membership format. Clients are given a full month free trial and can cancel at any time within the given trial period, otherwise a monthly fee of $38.83 will be incurred for each membership month thereafter. Subscriber can easily cancel a Privacy Chest membership by calling 1-888-432-4378 (1-88-TheChest) between the regular business hours of 8am EST and 7pm EST, Monday through Friday. Subscriber must provide Company a minimum of two (2) days (48 hours) prior to a reoccurring charge date to process any request to cancel a monthly reoccurring charge. If a cancellation request is received with the above noted minimum 48 hours notice, Company will stop the monthly billing immediately; however, you will not be eligible for a pro-rated refund of your current month's paid membership fee. Any charge backs or disputes that do not comply with this cancellation policy will be aggressively pursued.

PROHIBITED USES. Company imposes certain restrictions on your permissible use of the Sites and the Service. You are prohibited from violating or attempting to violate any security features of the Sites or Service, including, without limitation, (a) accessing content or data not intended for you, or logging onto a server or account that you are not authorized to access; (b) attempting to probe, scan, or test the vulnerability of the Service, the Sites, or any associated system or network, or to breach security or authentication measures without proper authorization; (c) interfering or attempting to interfere with service to any user, host, or network, including, without limitation, by means of submitting a virus to the Sites or Service, overloading, "flooding," "spamming," "mail bombing," or "crashing;" (d) using the Sites or Service to send unsolicited e-mail, including, without limitation, promotions, or advertisements for products or services; (e) forging any TCP/IP packet header or any part of the header information in any e-mail or in any posting using the Service; or (f) attempting to modify, reverse-engineer, decompile, disassemble, or otherwise reduce or attempt to reduce to a human-perceivable form any of the source code used by Company in providing the Sites or Service. Any violation of system or network security may subject you to civil and/or criminal liability.

USE OF SOFTWARE. Company may make certain software available to you from the Sites. If you download software from the Sites, the software, including all files and images contained in or generated by the software, and accompanying data (collectively, "Software") are deemed to be licensed to you by Company, for your personal, noncommercial, home use only. Company does not transfer either the title or the intellectual property rights to the Software, and Company retains full and complete title to the Software as well as all intellectual property rights therein. You may not sell, redistribute, or reproduce the Software, nor may you decompile, reverse-engineer, disassemble, or otherwise convert the Software to a human-perceivable form. All trademarks and logos are owned by Company or its licensors and you may not copy or use them in any manner.

THIS LIMITATION SHALL APPLY REGARDLESS OF WHETHER THE DAMAGES ARISE OUT OF BREACH OF CONTRACT, TORT, OR ANY OTHER LEGAL THEORY OR FORM OF ACTION. ADDITIONALLY, OUR MAXIMUM LIABILITY TO YOU UNDER ALL CIRCUMSTANCES WILL BE EQUAL TO THE AGGREGATE PRICE YOU PAY FOR Razoreye Media OVER THE COURSE OF YOUR USE OF THE SITES. THE NEGATION OF DAMAGES SET FORTH ABOVE IS A FUNDAMENTAL ELEMENT OF THE BASIS OF THE BARGAIN BETWEEN US AND YOU. THIS SITES AND THE INFORMATION WOULD NOT BE PROVIDED WITHOUT SUCH LIMITATIONS. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED BY YOU FROM US THROUGH THE SITES SHALL CREATE ANY WARRANTY, REPRESENTATION OR GUARANTEE NOT EXPRESSLY STATED IN THIS AGREEMENT.

Subscriber’s consent applies to all transactions including monthly fees. Subscriber hereby waives any objection it may have to Company’s use of electronic records in judicial and/or arbitration proceedings should it be necessary to enforce the terms of this Agreement.
